Proposals for Changes to Bylaws

1.       Per Article III, the Web Master is an elected position. I propose that this position be a voluntary position, and the Web Master does not have to be a member of the Virginia Star Quilters.

In the bylaws, it would read: Per Article III Sec A,  “Due to the specific knowledge needed for the position of Web Master it will not be required that the Web Master is a member of the Virginia Star Quilters. The Web Master will not be required to attend Executive Committee meetings or regular meetings.  The Web Master will be provided with the appropriate information by the President or a designated Executive Committee Member.”

 

2.      Per Article III, “each officer will serve a two-year term”. I would like to add “Any officer who misses 25% or more of the guild meetings and Executive Committee meetings combined will automatically be removed as an officer of the Board.” This means, for example, that if the guild has 12 meetings in a year and 12 Executive committee meetings in the same year (a total of 24 meetings), any officer missing 6 meetings within a membership year would be removed as an officer of the Board.

In the bylaws it would read: Per Article III Sec A, "Each officer will be elected for a two-year term and will be a member of the Executive Committee.  Any officer who misses 25% or more of a combination of the regular guild meetings and the Executive Committee meetings will automatically be removed as an officer of the Board."

 

3.      There are currently no provisions in the bylaws as to how to fill any seat that is vacated before election year. Therefore, I would like to propose that the following amendment be added to Article III:

“Any Board position vacated before the end of the term will be filled by a vote at a Special Election. A Special Election will be held during a regular monthly meeting. The new Board member will fill the position until the next appropriate annual meeting, keeping the schedule of the odd-or-even year elections, as stated in Article III Section A.”
